问题:为什么是backward不太明白?Tressell’s retail facilities是做销售渠道的,应该是BBC的下游啊,它又不是BBC的原材料供应商,怎么就成backward了?

题干开篇就介绍了:BCC是糖果的生产商,他生产完就会卖给糖果的零售商进行销售(说明它自己没有零售渠道),你截图的第一个小点:BCC是通过Tresell 的零售渠道进行销售的(some of BCC products are brought to market using Tressell’s retail facilities.),所以BCC是T公司的上游,因此T收购BCC是vertical merger with backward integration。
