Standard IV(B)Additional Compensation Arrangements,这条准则是限制员工对雇主的责任,不需要对外披露,只需要员工对雇主披露。

只有当员工因为参与和雇主有利益冲突的活动时,和该活动有关的礼物Additional Compensation需要向雇主披露。

这种礼物,员工需要先向雇主报告,获得了书面许可(Written consent)之后,才能接。

所以本题,员工的工作是基金经理Portfolio manager,Additional compensation的活动是:Riser serves as the contact person。

本职工作是基金经理,额外工作是联系人,初步判断不构成对原雇主的利率冲突。

从他在Road show扮演的角色:

A错在他给子公司做路演,但他的本职工作是基金经理,所以别人以为他是以基金经理的身份推荐产品,并不知道他在子公司的董事会任职,所以如果要代表子公司做路演,就必须披露与子公司的关系。违反A也就违反B,因为如果不披露这层关系,在外人看来,会影响他的独立客观性。会认为他推荐产品只是出于董事会的报酬

如果说与雇主利益没有冲突,那为什么违反了A呢。 而且这里面也没有说,他把路演的利益和收入提前报告给雇主得到雇主同意,如果A违反了,C也应该违反了。
