嗨，努力学习的PZer你好：


因为在之前的很长时间，法国和美国的公司治理结构，都是董事长和CEO是同一个人。后来，在“吉百列准则”之后，公司治理结构开始往董事长和CEO是不同的人发展。但是，虽然这是目前已经不提倡的做法，在许多公司里，这两者还是同一个人。
