B选项：升级的前提是升级措施是有用的，当你发现升级无效，那就要先用缓兵之计，等等再说。不是说永远都不升级了。水印版讲义P47：

当基金经理在参与被投资公司的日常事务时，可能会遇到一直无法达到目标，参与无效（例如一时半会儿无法降低碳排放）。一般情况下，需要升级来解决问题（利用升级手段敦促企业降低碳排放），但是题目问的是什么情况下不适合升级，其实说的就是此时此刻，升级的条件还没有满足（例如企业无法降低碳排放的原因时资金未到位），尽管参与无效，无法达到目标，但还是需要继续观望，暂时不要急着去升级。

objective doesn't warrant excess activities说的是进步一步（升级）的动作也没法保证目标可以达到，与前面说的暂时不要急着去升级是一致的。


D选项是可取的一种方法，等待即将到来的股东大会，先观望

还是不理解D选项，题目就是不适合升级，等待个股东大会决议，需要升什么级？B选项毫无进展，目标也一直无法达到还不升级，那不就是混吃等死吗？
