它这个制度就是为例避免进入public 投票，所以提前要私下解决。


C说的“在证交会做出任何裁决之前，应该公开这一议程。” 这个时间就错位了。证交会是让他们先私下解决的，解决了就不公开了，解决不了再上public agenda

同学你好，

这个是美国的一个特殊之处，就是它可以在年度股东大会之前，就这些提议私下解决协商，然后申请这些提案不在大会议程中出现。删除可以避免一些舆论影响吧。

“在美国提出股东决议可以通过私下参与的方式解决，这可能会达到一个令人满意的结果，足以让投资者撤回决议。”

而在其它许多司法管辖区，针对这种股东提案，公司必须公开决议。不能提前协商删除

想问下为什么不可以选C，感觉这个知识点是说可以在股东大会之前私下解决协商，达成和解之后才可以报请sec删除这个议题，也就是说sec没有同意的话，就应该继续在大会上公开，不是吗？
