"优先购买"通常指的是在股份转让或者新股发行中，某些投资者或股东有权利在其他人之前购买股份。这种权利允许现有股东在新股发行或现有股份转让时，按比例购买足够的股份，以维持他们在公司中的股权比例不受稀释。

并不是只能大股东。

同学你好，

优先购买权（pre-emptive rights）确保投资者，包括机构投资者，有优先认购新发型股票的权力，能够避免现有股票份额比例被稀释。因此可以保护其它股东，也就是机构投资者的利益。

关联方交易（related-party transactions）是指发生在彼此之间存在预先关系的两方之间的交易，例如企业及其所有者、子公司和关联公司，或者处于共同所有权或控制下的两个企业之间。可能会存在潜在的利益冲突，损害其它股东的利益。

Dual-class shares是指双重股权结构，给于公司创始人（或公司早期选定的有限一群人）的股份更高比例的投票权。在他们所持股票份额降低之后，仍能对公司的决策起到决定的性的作用。这不利于其它股东的权益。即其它股东虽然持股份额高，但是在公司决策的投票上没有话语权。

综上，只有优先购买权（pre-emptive rights）是保护机构投资者，也就是公司其它股东利益的。
