关于澳大利亚的董事会结构,老师上课没有讲。
但是里面我有一点非常confuse,就是关于书上说的board的唯一一名executive的director。
在V4的书P290页上半部分,有一句原文:In Australia, the CEO is usually the board’s single executive director (and does not usually chair the board), but is typically not subject to election by shareholders.
说的是“在澳大利亚,CEO通常是董事会的唯一执行董事(通常不主持董事会)”也就说这位executive director一般是CEO,且不主持会议。
而在V4的书P290页下半部分,有一句原文:Australia has a single-tier board structure, with just a single executive director (often called the managing director instead of, or as well as, CEO).
但这句话如何理解?
尤其是 instead of,使我对这句话产生了疑问,就是说这位 executive director 是可以managing的吗?但是他如果不主持会议,如何管理?
如果要是连在后面又可能被理解成,这个executive director 不能是CEO。
所以这唯一的一个executive director到底如何理解和安排呢?
