优先购买权（pre-emptive rights）确保投资者，包括机构投资者，能够避免大股东寻求获取更多控制权而稀释其在公司中的利益。因此可以保护小股东的利益。

关联方交易（related-party transactions）是指发生在彼此之间存在预先关系的两个交易方之间的交易，例如企业及其所有者、子公司和关联公司，或者处于共同所有权或控制下的两个企业之间。可能会存在潜在的利益冲突。

Dual-class shares是指，其中一个类别的股份，仅限于公司创始人（或公司早期选定的有限一群人），相比于后来股东可以投资的股份类别，这些创始人持有的股份享有更多的投票权，这是不利于保护小股东的利益的。
